Gold Terra Closes Final Tranche To Lift Total Financing To C$10.1M

Gold Terra Resource Corp. has closed the third and final tranche of its non-brokered private placement, issuing 4,915,560 common shares at C$0.18 per share to raise gross proceeds of C$884,800.80.
The latest closing brings total aggregate gross proceeds from the financing effort to C$10,081,666.80 through the issuance of 16,009,260 hard dollar shares, 10,000,000 flow-through common shares, and 20,000,000 charity flow-through common shares. The offering was supported by strategic participation including David Harquail.
In connection with the final tranche, Gold Terra paid finder's fees of C$44,340.05, bringing total finder's fees for the placement to C$276,089.93 paid to arm's length finders in accordance with TSX Venture Exchange policies. The financing remains subject to the final acceptance of the exchange. Integrity Capital Group Inc. supported the financing efforts.
Net proceeds from the placement are earmarked for general corporate purposes and two concurrent drilling programs. The first program targets the northern extension of the Campbell Shear target Zone 103N, where drilling started on August 7, 2026. Gold Terra established an initial inferred mineral resource estimate of 5,083,000 tonnes averaging 3.64 g/t gold for 595,000 ounces at Zone 103N in June 2026.
The second program focuses on the Con Mine historical on-site tailings, which hold approximately 12 million tonnes of processed ore residues placed between 1938 and 2003, with drilling scheduled to start in September 2026.
Both drill programs are anticipated to confirm and add gold ounces on the Con Mine Option property. Under the Con Mine Option agreement with a subsidiary of Newmont Corporation, Gold Terra holds the right to acquire a 100% interest in the property through November 21, 2027.
Looking ahead to broader operational milestones, Gold Terra is targeting the delivery of a Preliminary Economic Assessment by the end of 2026.
