Gold Terra Secures C$446,665 in Second Tranche of Private Placement

Gold Terra Resource Corp. has closed a second tranche of its non-brokered private placement, raising gross proceeds of C$446,665.86 through the issuance of 2,481,477 common shares at an issue price of C$0.18 per share.

The financing forms part of an overall C$10.8 million offering. The first tranche closed on July 24, 2026, raising C$8,750,200 at the identical issue price of C$0.18 per share, followed by the second tranche closing on August 6, 2026.

Net proceeds from the offering will be directed toward general corporate purposes and two concurrent drilling programs scheduled to start in July and August. These drill programs will test the northern extension of the Campbell Shear target Zone 103 N and the Con Mine historical on-site tailings, where approximately 12 million tonnes of processed ore residues were deposited between 1938 and 2003. Both planned programs are anticipated to confirm and add ounces of gold on the Con Mine Option property, which is held under option from a subsidiary of Newmont Corporation.

Finders' fees totaling C$21,399.95 were paid to certain arm's length finders in accordance with the policies of the TSX Venture Exchange. The offering is non-brokered with no warrants attached, and Gold Terra engaged Integrity Capital Group Inc. to support its financing efforts.

Gold Terra expects to close the final tranche of the private placement offering on or around August 20, 2026. The final closing remains subject to certain conditions and the final acceptance of the TSX Venture Exchange.
