Golden Age Completes Mac Minerals Acquisition and Expands Private Placement Financing

Golden Age Exploration Ltd. has completed its acquisition of a 100 per cent interest in Mac Minerals Pty Ltd. following the receipt of minority shareholder approval and clearance from the Canadian Securities Exchange, issuing an aggregate of 6,000,000 common shares subject to a hold period expiring on February 15, 2027.
The transaction formally secures the Hamilton project, which covers an expansive land position of 10,655 square kilometres in South Australia. The underlying acquisition agreement also incorporates performance-based milestone payments of up to C$3.95 million. Furthermore, the terms outline an additional C$2.0 million payable for each project within the acquired portfolio where a uranium resource of at least 30 million pounds is successfully defined.
Concurrent with the completion of the corporate acquisition, Golden Age has increased the scale of its non-brokered private placement financing. The company is now offering up to 3,500,000 units at a price of $0.20 per unit to raise gross proceeds of up to $700,000, lifting the fundraising target from an earlier plan of $400,000 across 2,000,000 units.
Each unit in the expanded financing comprises one common share and one-half of one share purchase warrant. Each whole share purchase warrant entitles the holder to purchase an additional common share at a price of $0.35 for a period of one year from issuance. Net proceeds raised from the offering will be deployed to strengthen the corporate treasury, fund ongoing project-related expenditures, and support general working capital requirements. Commissions may also be paid on funds raised through the placement.
Beyond the Hamilton project, the broader portfolio acquired through the transaction includes the Algebuckina project in South Australia and the Yalyirimbi project in the Northern Territory. Golden Age plans to initiate near-term targeted drilling at Yalyirimbi to test prospective targets, building on existing airborne electromagnetic survey data that identified extensive palaeo-channels across the property.
Activity across the wider regional jurisdiction continues to progress, highlighted by developments where Aruma Resources Limited executed a Native Title Mining Agreement for its Wilan project within the surrounding district.
