Golden Goliath Launches $600,000 Private Placement to Advance Egyptian Operations
Golden Goliath Resources Ltd. has announced a private placement to raise up to $600,000, with proceeds earmarked for exploration, soil sampling, and infrastructure installation for planned pilot production in Egypt.
The financing comprises units priced at $0.10, with each unit including one common share and a full warrant. The warrants allow holders to purchase an additional common share at $0.12 for 12 months following the closing date.
The offering includes participation from related parties, constituting a related-party transaction under Multilateral Instrument 61-101. Golden Goliath is relying on exemptions from formal valuation and minority shareholder approval requirements, citing that the company is not listed on specified markets and the fair market value does not exceed $2.5 million.
Securities issued under the placement will be subject to a four-month and one-day statutory hold period from the closing date. The offering remains subject to regulatory approval, and the company may pay a finder's fee on a portion of the proceeds.
Proceeds from the capital raise will support general working capital and advance the company's international expansion following its acquisition of a partnership and operatorship interest in the West Gabal El Dehies Concession in Egypt's Eastern Desert.
