Goldera Takes 65% Stake in Acadian Gold Joint Venture Through Settlement and Investment

Goldera Exploration Ltd. is increasing its ownership in the Acadian Gold Joint Venture in New Brunswick to 65% under a settlement agreement that requires the company to subscribe for 2.5 million units of joint venture partner Gold Orogen Resources Corp. for CAD$200,000.

The investment is being made through Gold Orogen’s non-brokered private placement, with units priced at CAD$0.08 each. The independent directors of Goldera have approved the transaction.

Each unit comprises one common share and one common share purchase warrant. Warrants allow holders to buy an additional share of Gold Orogen at an exercise price of CAD$0.10 for 36 months from the issue date. Gold Orogen may accelerate the expiry upon 30 days' notice if its shares close at or above CAD$0.25 for 10 consecutive trading days.

The subscription forms part of a settlement agreement involving Goldera, its former parent company ERDA Resource Opportunities Inc. (formerly Fancamp Exploration Ltd.), Gold Orogen, Gold Orogen Exploration Corp., and Lode Gold Resources Inc. Under the agreement, Gold Orogen will transfer a 15% interest in Acadian Gold Corp. to Goldera, raising Goldera's holding to 65% upon completion of the transfer.

Goldera was created through the spin-out of Fancamp Exploration Ltd.’s exploration portfolio to advance gold and copper assets across Ontario, Québec, New Brunswick, and the Yukon.

The corporate realignment takes place against a supportive macroeconomic backdrop for precious metals, with gold trading at $4,378.30 per ounce, representing a 7.31% increase over the 30-day period ending August 13, 2026.
