Goldgroup Secures US$75 Million Private Placement With US$60 Million Already Committed

Goldgroup Mining Inc. has launched a non-brokered private placement offering of up to 20,547,945 units priced at US$3.65 per unit to raise gross proceeds of up to approximately US$75 million. The financing is backed by US$60 million in already committed funds from cornerstone investors, including entities representing or affiliated with Trafigura, Eric Sprott, Rick Rule, Fiscal Wisdom, Calu Opportunity Fund, and two institutional natural resource funds.

Each unit comprises one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire an additional common share at a price of US$5.10 for 18 months following the closing date. The offering is expected to close on or about September 30, 2026, subject to receiving necessary regulatory approvals, including conditional approval from the TSX Venture Exchange and approval from NYSE American LLC.

Goldgroup completed the acquisition of 100% of the San Francisco Gold Project on June 15, 2026, through a Concurso Mercantil process, and intends to use a portion of the current financing proceeds to advance the project toward a potential production restart targeted for the end of 2026 or early 2027. Alongside organic growth from existing operations, the company intends to use proceeds from the offering to continue seeking and reviewing new property acquisitions and potential M&A opportunities.
