GoldHaven Closes First Tranche of Flow-Through Financing and Expands Offering to $3.0 Million

GoldHaven Resources Corp. has closed the first tranche of its non-brokered flow-through financing, raising aggregate gross proceeds of $1,884,627 through the issuance of 7,111,800 flow-through common shares at a price of $0.265 each.
In response to additional investor demand, the company has increased the size of the financing to up to $3.0 million through one or more subsequent tranches at the same share price, subject to regulatory requirements.
The transaction provides the treasury support needed to advance work across the flagship Magno Project, a property covering more than 37,200 hectares in northern British Columbia's Cassiar District. GoldHaven contracted Northtech Drilling to carry out an inaugural 5,000 to 7,000-metre diamond drill program at the property, with initial drilling focused on the Kuhn tungsten-skarn target.
Gross proceeds from the offering will fund eligible Canadian exploration expenses that qualify as critical mineral mining expenditures under the Income Tax Act. These expenditures will be renounced to subscribers effective December 31, 2026. All securities issued under the placement carry a statutory hold period until January 2, 2027. In connection with the closing, the company paid $131,924 in cash finder’s fees and issued 497,826 non-transferable finder warrants, each exercisable at $0.35 per share for a 24-month period.
