Guardian Metal Resources Secures £1.6M From Warrant Exercise

Guardian Metal Resources plc has raised £1,595,610.80 following the receipt of a notice to exercise warrants over 3,989,027 new ordinary shares of 1 pence each at an exercise price of 40 pence per share.
The newly exercised warrant shares were originally issued under a strategic financing arrangement completed on August 15, 2024. Following this exercise, only 100,000 warrant shares remain on the company's register. Those remaining warrants carry an exercise price of 40 pence and an expiry date of January 25, 2027, and are tied to the definitive exploration lease and option to purchase agreement for the Tempiute project announced in January 2025.
Application has been submitted for the 3,989,027 new warrant shares to be admitted to trading on AIM, with admission expected to occur on or around August 20, 2026. The new shares will rank pari passu in all respects with existing ordinary shares currently traded on the market.
Upon admission, the company's issued share capital will increase to 198,797,008 ordinary shares of 1 pence each. This total represents all voting rights in the company and will serve as the denominator for shareholders calculating whether they must notify changes to their interest under the Financial Conduct Authority's Disclosure and Transparency Rules.
Guardian Metal Resources is actively advancing two co-flagship tungsten projects in Nevada, United States, comprising Pilot Mountain and Tempiute. These assets position the company within the domestic critical minerals sector as it works to re-establish a secure mined tungsten supply chain.
The ongoing development work across the company's portfolio is reinforced by external backing, notably at Pilot Mountain, where the U.S. Department of War awarded US$6.2 million in July 2025. Granted under Title III of the Defense Production Act of 1950 to wholly-owned subsidiary Golden Metal Resources (USA) LLC, the funding was directed to support the pre-feasibility study for the project.
