Hi-View Resources Upsizes Flow-Through Financing to C$2.3 Million

Hi-View Resources Inc. has increased its previously announced non-brokered private placement of premium flow-through units to target gross proceeds of $2,302,892.
The upsized offering involves a minimum of 5,757,231 charity flow-through units priced at $0.40 each. Every unit comprises one common share and one-half of a transferable common share purchase warrant. Each whole warrant enables the holder to buy an additional non-flow-through common share at $0.42 for a 24-month period following issuance.
The company will allocate the gross proceeds toward eligible Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures under federal legislation and mining expenditures under British Columbia tax rules. Hi-View intends to renounce these qualifying expenditures with an effective date no later than December 31, 2026, and incur the expenses by the end of 2027.
These expenditures qualify individual investors for a federal 30% investment tax credit. Investors resident or subject to tax in British Columbia are also eligible for an additional 20% provincial tax credit.
The financing package is expected to close on or around September 10, 2026, pending standard regulatory and other required approvals. All securities issued under the placement carry a statutory hold period of four months and one day from the date of issuance.
In connection with the placement, Hi-View will pay a 6% finder's fee comprising cash commissions and compensation warrants. Each compensation warrant entitles the holder to purchase one common share at $0.26 for 24 months.
The financing supports exploration across Hi-View's portfolio in the Toodoggone region of northern British Columbia. The company's claims package spans more than 27,910 hectares and is anchored by the flagship Golden Stranger Project, the Lawyers claims, and the Borealis Project.
The portfolio expansion follows the completion of a Wildlife Management Plan and the amendment of exploration permits with provincial regulators to incorporate newly acquired ground.
Financing activity in the Toodoggone district remains active, highlighted by Thesis Gold & Silver Inc. closing a C$58.5 million financing package at the Lawyers-Ranch project near the property.
