HydroGraph Secures C$50 Million Bought Deal Public Offering

HydroGraph Clean Power Inc. has entered into a bought deal agreement with sole underwriter and bookrunner Canaccord Genuity Corp. to raise aggregate gross proceeds of C$50,000,400 through a public offering of units.

Under the terms of the agreement, HydroGraph Clean Power Inc. will issue 7,353,000 units at a price of C$6.80 per unit. Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire an additional common share at a price of C$8.16 for a period of 60 months following the closing date.

The company has also granted the underwriter an over-allotment option to purchase up to an additional 1,102,950 units at the offering price for additional gross proceeds of up to C$7,500,060. This over-allotment option remains exercisable for 30 days following the closing date.

Net proceeds from the financing are earmarked for business development activities, the expansion of American facilities, working capital, and general corporate purposes.

The transaction is subject to customary closing conditions and receipt of all necessary regulatory approvals, including approval from the Canadian Securities Exchange. The offering is expected to close on or about August 25, 2026.

This public financing follows previous funding rounds executed through brokered private placements, including a C$30.0 million offering closed in March 2026 and a C$20.0 million offering closed in November 2025. In addition to its capital-raising activities, the company received a purchase order from a major global automotive customer for research quantities of four additional graphene products, supporting ongoing commercial and application development initiatives.
