HydroGraph Upsizes Bought Deal Public Offering to C$61.2 Million

HydroGraph Clean Power Inc. has entered into an amended agreement with Canaccord Genuity Corp. to increase its previously announced bought deal public offering from C$50 million to C$61,200,000 following robust investor demand.
Canaccord Genuity Corp. acts as the sole underwriter and bookrunner for the upsized financing, continuing its role from the initial C$50,000,400 bought deal agreement announced earlier in August 2026. Under the revised terms of the underwritten offering, the underwriter has agreed to purchase 9,000,000 units of the company at a price of C$6.80 per unit.
Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire an additional common share at a price of C$8.16 for a period of 60 months following the closing date.
In addition to the main placement, the company has granted the underwriter an over-allotment option to purchase up to an additional 1,350,000 units at the offering price for additional gross proceeds of up to C$9,180,000. This over-allotment option is exercisable for a period of 30 days after and including the closing date.
Net proceeds from the financing are earmarked for business development activities, the expansion of American facilities, working capital, and general corporate purposes.
The offering is expected to close on or about August 25, 2026. The transaction remains subject to customary closing conditions and the receipt of all necessary regulatory approvals, including the formal acceptance of the Canadian Securities Exchange.
HydroGraph produces pristine graphene using its proprietary Hyperion Reactor technology. The technology allows for ultra-high purity, low energy use, and uniform batches that meet the Graphene Council’s Verified Graphene Producer standards. The company previously advanced its graphene applications through research partnerships, including work with the University of Manchester’s Graphene Engineering Innovation Centre and battery material collaborations with NEI Corporation.
The current offering follows a series of capital raises by the company over the past year, which included closing a C$30 million listed issuer financing exemption offering on March 5, 2026, and a C$20 million listed issuer financing exemption offering on November 4, 2025.
