Image Resources Extends Billion Sunny Prepayment Facility to June 2027

Image Resources NL has executed a variation letter extending the final maturity date of its Billion Sunny prepayment facility for the Atlas mineral sands project to 30 June 2027.

The agreement defers repayment obligations that would otherwise have fallen due during the current financial year. Under the revised terms, interest continues to accrue through monthly capitalisation and compounding, with all amounts payable at maturity and no periodic cash interest payments required in the interim. The prepayment facility maturity date was previously extended to 31 December 2026.

The arrangement preserves liquidity and reduces forecast cash outflows through to 30 June 2027 without granting any additional security over company assets or diluting shareholders. The executed variation also establishes that any suspension or cessation of production at Atlas, including placing the project on care and maintenance, will not constitute an event of default or a breach of the binding term sheet. Furthermore, the company is no longer required to maintain a minimum cash balance in relation to operations at the site, and the agreement permits new financial commitments or indebtedness of up to A$45 million without prior written consent.

Parallel discussions are ongoing regarding a corresponding variation for a separate prepayment facility with another offtake partner, Shantou Natfort Zirconium and Titanium Co., Ltd, though no agreement has yet been reached.

Alongside the financing extension, the board initiated a structured cost optimisation program targeting corporate overhead, operating costs, contractor and consultancy arrangements, and capital commitments. Image Resources has also commenced a strategic review of its asset portfolio, encompassing mineral sands projects in the North Perth Basin, exploration tenure, and tenements prospective for rare earth elements, to assess value realisation across retention, joint ventures, or divestment.

Image Resources expects to provide a further update on the progress of the strategic review during Q4 2026. The company developed its earlier Boonanarring project in the North Perth Basin prior to advancing operations at the Atlas mineral sands project.
