iMetal Resources Closes $3 Million Private Placement and Secures Strategic Partner

iMetal Resources has completed its previously announced non-brokered private placement, raising gross proceeds of $3,000,000 through the issuance of 30,000,000 units priced at $0.10 each.
Each unit consists of one common share and one transferable share purchase warrant, allowing the holder to purchase an additional share at $0.175 until August 17, 2029. These warrants carry an accelerated expiry clause which can be triggered if the volume-weighted average trading price of the shares on the TSX Venture Exchange exceeds $0.40 for twenty consecutive trading days after four months and one day from closing.
The financing included a major investment by McFarlane Lake Mining Limited, which subscribed for 14,200,852 units. This participation leaves the incoming investor holding approximately 19.9% of the outstanding common shares. Under an associated investor rights agreement, McFarlane Lake Mining gains the entitlement to nominate one member to the board of directors and to advise on exploration activities at the Gowganda West property.
The flagship Gowganda West property is an exploration-stage gold project situated within the Shining Tree Camp area of the Abitibi Greenstone Gold Belt, located roughly 100 kilometres south-southeast of the Timmins Gold Camp. Previous drilling at the asset returned broad intervals of gold mineralization, including 16.65 metres at 1.25 g/t gold within a wider intercept of 62.25 metres at 0.61 g/t gold.
In connection with the private placement, the company paid $213,850 in cash commissions and issued 2,093,500 non-transferable broker warrants to eligible parties who assisted with subscriber introductions. Most of these broker warrants are exercisable at $0.10, with the remainder at $0.175, and all share and warrant securities issued under the offering are subject to a statutory hold period until December 18, 2026.
The financing also involved participation by a holding company controlled by the chief executive officer of iMetal Resources, constituting a related-party transaction that relied on standard exemptions from formal valuation and minority approval requirements. Alongside the placement closing, the company granted 3,350,000 incentive stock options to directors, officers, and consultants, vesting immediately and exercisable at $0.15 until August 17, 2031.
The completion follows broader district activity, including where Transition Metals Corp. expanded its Gowganda gold project in Ontario's Abitibi Greenstone Belt to approximately 125 square kilometres following recent claim staking and property acquisitions near the Gowganda West project area.
