Integral Metals Secures C$1.25M in Flow-Through Placement for KAP Project Exploration

Integral Metals Corp. has launched a non-brokered private placement aiming to raise up to C$1,250,000 to fund ongoing exploration work at its critical minerals portfolio, centered on the KAP Project in the Northwest Territories.

The financing involves the sale of units priced at C$0.40 each. Every unit comprises one common share issued as a flow-through share under Canadian tax legislation and one transferable common share purchase warrant. Each warrant allows the holder to acquire an additional non-flow-through common share at an exercise price of C$0.50 for 18 months from issuance.

Gross proceeds from the flow-through shares will be directed toward eligible Canadian exploration expenses qualifying as flow-through mining expenditures. Integral intends to renounce these expenses to initial purchasers with an effective date no later than December 31, 2026.

The company's KAP Project, which is slated to receive exploration funding from the offering, is interpreted as a Mississippi Valley-type and carbonate replacement deposit system targeted for zinc, gallium, and germanium mineralization. During the 2025 exploration program at the property, diamond drilling confirmed the presence of zinc, gallium, and germanium mineralization within sphalerite-bearing breccia horizons. Integral plans to carry out a diamond drilling program at the site in 2026 to further evaluate this mineralization.

The private placement is expected to close on or about September 14, 2026, pending necessary corporate and regulatory approvals. All securities issued under the offering will carry a statutory hold period of four months and one day from their issuance date.
