IsoEnergy Completes Utah Uranium Portfolio Transfer to Launch DISA Uranium

IsoEnergy Ltd. has completed its transaction with DISA Technologies, Inc. to form DISA Uranium Corporation, transferring its suite of permitted, past-producing conventional uranium mines in Utah in exchange for 1,677,350 shares of common stock.
The completed arrangement establishes IsoEnergy as DISA Uranium’s largest shareholder with approximately 33% ownership on a fully diluted basis. Concurrent with the transaction closing, DISA Uranium secured commitments for its US$105 million private placement financing. IsoEnergy participated with a US$33 million investment in the financing round alongside contributions from Tembo Capital, BHP Ventures, Galvanize Climate Solutions, Valor Equity Partners, Evok Innovations, Halliburton Labs and Veriten.
The contributed Utah Portfolio comprises the Tony M Mine, Daneros Mine, Rim Mine, Sage Plain Project, and Flatiron Project. DISA Uranium has combined these conventional assets with its proprietary HPSA processing technology and remediation and recovery business.

Following the closing, DISA Uranium is overseen by a seven-member board of directors chaired on the IsoEnergy side by Richard Patricio, alongside Philip Williams, Tembo Capital partner George Pyper, Greyson Buckingham, Scott Saxberg, Marty Reed, and former U.S. NRC Commissioner Jeffrey Merrifield.
With the transaction finalized, the company intends to execute a multi-pronged operating strategy. DISA Uranium plans to deploy its HPSA technology to recover uranium from abandoned mine waste, bring conventional U.S. production back online, and develop domestic processing capacity. The Tony M Mine is slated as a near-term priority within the portfolio to help establish the new platform.
