Jayden Resources Arranges $1M Private Placement and Revises Debt Settlement

Jayden Resources Inc. has arranged a non-brokered private placement to raise up to $1,000,000 in gross proceeds, directing the incoming funds toward general working capital requirements.

The conditional financing involves the issuance of up to 5,128,205 units priced at $0.195 per unit. Each unit consists of one common share and one transferable common share purchase warrant. Every warrant entitles the holder to purchase an additional common share at a price of $0.26 for a period of two years following the closing date.

Completion of the private placement remains subject to formal approval from the TSX Venture Exchange. All securities issued under the offering will be subject to a statutory hold period of four months and one day from the date of issuance in accordance with applicable securities laws. Jayden expects to close the placement once exchange approval is secured.

Alongside the new financing terms, Jayden clarified the financial scope of a previously announced shares-for-debt settlement. The company adjusted the total aggregate indebtedness to be settled upward to $462,812, replacing the $378,442 figure stated in its July 24, 2026 news release. Despite the higher debt total, the transaction maintains the previously established issuance of 1,851,248 common shares at a deemed issue price of $0.25 per common share.
