Kincora Secures US$1.5M Mongolia Divestment Tranche

Kincora Copper Limited has received a US$1.5-million payment for the divestment of its wholly owned Mongolian subsidiaries, bringing total proceeds collected under the transaction to US$6.5-million.
The total staged consideration for the asset sale is US$10-million. The funds are payable in full to Kincora free and clear of any taxes, levies, or fees, excluding certain contractual obligations held by the company.
The remaining balance of US$3.5-million is scheduled to be paid on or before December 31, 2026.
This ongoing divestment follows a series of portfolio adjustments in the region. Prior to executing definitive agreements for the sale in July 2026, Kincora resecured full rights to its Mongolian copper-gold portfolio in September 2025 after a previous partner withdrew from an earlier earn-in agreement to focus on Australian gold exploration.
The transaction structure began with a term sheet in May 2026, which established a non-refundable option payment of US$1.5-million to grant exclusivity over the subsidiaries. That initial payment laid the groundwork for the definitive share purchase agreements signed in July, which triggered the subsequent staged cash flows leading up to the current US$6.5-million cumulative total.
