Kobrea has entered into a strategic alliance with BHP Metals Exploration to advance the Western Malargüe Copper Projects in Mendoza Province, Argentina. The agreement includes an immediate US$3 million cash payment to Kobrea and a commitment from BHP to fund a minimum of US$5 million in exploration expenditures over an initial two-year project generation phase.

Kobrea will serve as the operator during this initial period. Following the two-year generation phase, BHP may elect to assume operatorship. Exploration activities throughout the partnership will be governed by a joint management committee with representatives from both companies.

The agreement provides BHP with an earn-in option on up to four separate projects. For each project designated for advancement, BHP can earn a 75% interest by sole funding a minimum of US$40 million in exploration expenditures over an eight-year period. If these earn-in requirements are met, the parties will establish a joint venture, with BHP holding a 75% interest and Kobrea retaining a 25% interest.

The partnership involves several prospective milestones:

  • Completion of the initial two-year project generation phase.
  • The potential designation of up to four separate projects by BHP for transition into individual earn-in phases.
  • The potential formation of formal joint ventures upon successful completion of the specified earn-in requirements for designated projects.
