LithiumBank Resources Corp. is advancing a non-brokered private placement of up to 9,000,000 units at $0.60 per unit to raise aggregate gross proceeds of up to $5.4 million, with net funds earmarked to support the ongoing feasibility study at its flagship Boardwalk lithium brine project in northwest Alberta and for general working capital purposes.
The offering is structured around units comprising one common share and one non-transferable common share purchase warrant, with each warrant exercisable for an additional share at $0.90 for a 24-month period following issuance. The company anticipates closing the financing on August 28, 2026, subject to customary conditions including TSX Venture Exchange approval, and may pay finder's fees to eligible participants in compliance with applicable policies and securities laws.
Proceeds from the placement will directly support technical work at Boardwalk, where LithiumBank is progressing a Feasibility Study and Front-End Engineering Design alongside SLB. The project forms part of the company's 1,240,140-acre land package of brownfield brine-hosted mineral licenses spanning three districts across Alberta and Saskatchewan, with management utilizing existing regional infrastructure and a modular scale-up approach to target commercial production.
