Madoro Advances Reverse Takeover And Prepares Shareholder Circular For Narrow River Transaction

Madoro Metals Corp. is advancing the remaining regulatory and procedural components required for its proposed reverse takeover transaction with Narrow River Resources Pty Ltd. Madoro and Narrow River Resources have executed a definitive share purchase agreement regarding the transaction, moving beyond the initial letter of intent announced in February 2026.

The companies are currently working toward finalization and mailing of the management proxy circular to be sent to Madoro shareholders in connection with a special meeting required to approve the proposed reverse takeover. The parties continue to coordinate with their respective advisors and address remaining matters under TSX Venture Exchange Policy 5.2 governing changes of business and reverse takeovers.

Alongside the transaction, Madoro is proceeding with its previously announced concurrent non-brokered private placement to raise aggregate gross proceeds of up to C$1,230,000, consisting of hard dollar and flow-through units.

Completion of the reverse takeover remains subject to several conditions, including TSX Venture Exchange acceptance, completion of the private placement financing, finalization and mailing of the circular, and the receipt of all necessary regulatory and shareholder approvals.

Madoro holds an option to acquire a 100% interest in the First Green Lithium Property in the Abitibi Témiscamingue region of Québec, approximately 75 kilometers southwest of Val-d’Or, as well as a 100% interest in the Cerro Minas Property in Oaxaca, Mexico.
