Miata Metals Files Final Prospectus for C$10M Bought Deal Offering
Miata Metals Corp. has filed a final short form prospectus across most Canadian provinces for a bought deal public offering of 24,391,000 common shares to raise approximately C$10 million in gross proceeds.
The offering is led by a syndicate of underwriters comprising ATB Cormark Capital Markets, SCP Resource Finance LP, and Canaccord Genuity Corp. The underwriters hold an over-allotment option to purchase up to an additional 3,658,650 shares for 30 days post-closing, which could generate an extra C$1.5 million and bring total gross offering proceeds to approximately C$11.5 million. The current C$10 million target maintains the increased figure set on July 29, 2026, following an initial C$7.5 million target announced on July 28, 2026.
Combined with a concurrent strategic investment from La Mancha Resource Fund SCSp establishing a 19.9% pro forma interest in Miata, total aggregate gross proceeds are expected to reach approximately C$23.28 million prior to any exercise of the over-allotment option. Both transactions are scheduled to close on or about August 18, 2026, subject to customary closing conditions, regulatory approvals, and TSX Venture Exchange acceptance, with each transaction conditional upon the other.
Alongside these financings, Miata intends to complete 24-month anniversary payments for its Sela Creek Gold Project in Suriname by issuing 354,457 common shares at a deemed price of C$0.59 per share to Selakriki Oksanisi Resources N.V., subject to exchange acceptance and a four-month statutory hold period. Miata holds a 70% interest in the approximately 215-square-kilometre Sela Creek project, alongside a 70% beneficial interest in the Nassau Gold Project, with options to acquire 100% of both greenstone belt properties in Suriname.
Activity across the surrounding district includes nearby gold explorer Founders Metals Inc., which reported an intercept of 28.0 metres grading 14.27 g/t gold at its Upper Antino target in August 2026.
