NatBridge Secures First Token Payment And Working Capital Loan

NatBridge Resources Ltd. has received its first cash payment under its November 10, 2025, agreement with NatGold Digital Ltd., stemming from token sales tied to the Cahuilla Gold Project in Imperial County, California.
The funds arise from sales of NATG tokens associated with the transfer of mineral rights interests in Land Parcels 45 and 46 to NatGold Integrity Vault LLC. Under the agreement, NatGold reports monthly sales and distributes proceeds to NatBridge, though future payments remain dependent on ongoing token sales. NatBridge filed an NI 43-101 technical report for the Cahuilla Gold Project effective June 15, 2026, classifying the property as an early-stage exploration asset without current mineral resources.
Concurrently, NatBridge continues working with the British Columbia Securities Commission regarding its application to revoke a cease trade order issued on December 4, 2025. The cease trade order remains in effect while the regulatory review proceeds.
To support working capital and cover expenses associated with the revocation process, the company secured an unsecured, non-convertible loan of US$75,000 from an arm's-length lender on August 13, 2026. The loan carries a 10% annual interest rate alongside a one-time 4% cash fee. It matures on November 13, 2026, or 30 calendar days after the company receives proceeds equal to or greater than the outstanding principal.
The receipt of this initial payment is an important development under our agreement with NatGold, said Stephen Moses, CEO and Director of NatBridge. Our immediate priority remains the CTO revocation process and our continuing work with the BCSC. We remain focused on bringing the Company's continuous disclosure record current and advancing the revocation process and will provide further updates as material developments occur.
