New Age Metals Closes $1M LIFE Financing

New Age Metals has closed its non-brokered private placement, raising gross proceeds of $1,000,000 through the issuance of 5,000,000 units priced at $0.20 each.
Each unit consists of one common share and one-half of a share purchase warrant. Each whole warrant enables the holder to acquire an additional common share at an exercise price of $0.25 for a period of 24 months, expiring on September 16, 2028. The terms include an accelerated expiry provision allowing the company to shorten the warrant duration to 30 calendar days if its shares trade at or above $0.45 on the TSX Venture Exchange for ten consecutive trading days.
The offering was completed under the Listed Issuer Financing Exemption, rendering the issued shares, warrants, and underlying warrant shares free trading. In connection with the closing, Ventum Financial Corp. received $70,000 in cash finder fees alongside 350,000 finder warrants. These finder warrants carry an exercise price of $0.25 and remain exercisable until September 16, 2028, subject to the same accelerated expiry terms, with the securities subject to a regulatory hold period expiring on January 17, 2027. Final approval from the TSX Venture Exchange remains pending.
The capital injection supports corporate operations and an extensive portfolio of exploration and development assets. The company's flagship asset is the River Valley Palladium-Platinum Project, located approximately 100 kilometres east of Sudbury, Ontario. A Preliminary Economic Assessment completed for the project in 2023 outlined a 16-year mine life with an average annual payable production of 47,400 ounces of palladium equivalent.
The financing follows a larger capitalization completed in October 2025, when the company closed an aggregate $4,000,000 private placement that included a $2,000,000 subscription from major shareholder Eric Sprott. Following the close of the financing, New Age Metals shares traded at $0.21, representing a gain of 2.44% in the trading session.
