Newmont Resolves Nevada Gold Mines Disputes And Agrees To $1.95 Billion Property Contribution With Barrick

Newmont Corporation has reached a comprehensive agreement with Barrick Mining Corporation to resolve all outstanding disputes across the Nevada Gold Mines joint venture and integrate several key developments into the operating partnership.

Under the terms of the agreement, the Nevada Gold Mines joint venture will expand to incorporate Barrick’s Fourmile development alongside Newmont’s Fiberline and Mike developments. To reflect the addition of these properties into the joint venture structure, Newmont has agreed to provide $1.95 billion in consideration to Barrick.

The agreement concludes all active disputes between the partners related to the joint venture operations. With those disagreements fully resolved, Newmont has provided its formal consent to Barrick’s proposed initial public offering of its North American gold assets.

The transaction also introduces enhanced governance provisions structured through a modernized joint venture agreement. Completion of the arrangement remains subject to specific upcoming catalysts, including the final completion of the contemplated property contributions for the Fourmile, Fiberline and Mike developments, and the successful completion of Barrick’s proposed initial public offering of its North American gold assets following Newmont’s consent. Both operating partners will continue working together to manage joint asset safety and performance.
