NV Gold Launches $1.4 Million Private Placement to Fund Drilling

NV Gold Corporation has announced a non-brokered private placement seeking gross proceeds of up to CAD $1.4 million through the issuance of up to 3.5 million units at a price of CAD $0.40 per unit.

Each unit comprises one common share and one-half of one transferable common share purchase warrant. Each whole warrant is exercisable at CAD $0.80 and expires two years from issuance. The company stated that the gross proceeds are expected to be used for an anticipated drill program and general working capital.

The financing coincides with a supportive macroeconomic backdrop for gold, which trades at US$4,423.50 per ounce, reflecting an 8.97% increase over the 30-day period ending August 12, 2026.

A finder's fee of six percent may be payable on portions of the offering, and insiders are permitted to participate. Any insider participation will constitute a related party transaction under Multilateral Instrument 61-101, though it is expected to be exempt from formal valuation and minority shareholder approval requirements.

Completion of the offering remains subject to the approval of the TSX Venture Exchange. All securities issued under the offering will be subject to a statutory hold period expiring four months and one day after the closing date.
