NV Gold Secures $703,620 in First Tranche Private Placement for Nevada Drilling

NV Gold Corporation has completed the first tranche of a non-brokered private placement, raising gross proceeds of $703,620.80 to fund ongoing exploration at its Slumber Gold Project in Nevada, USA.

The financing involved the issuance of 1,759,052 units priced at $0.40 each. Every unit consists of one common share and one-half of a transferable common share purchase warrant. Each whole warrant carries an exercise price of $0.80 per share and expires two years from issuance. All securities issued under this initial tranche carry a statutory hold period of four months and one day. The company did not pay any finder's fees in connection with the closing.

An insider participated in the offering, constituting a related party transaction under Multilateral Instrument 61-101. The issuance was exempted from formal valuation and minority shareholder approval requirements because the fair market value of the shares issued to the insider remains below 25 percent of the company's market capitalization.

NV Gold intends to close a second tranche of the financing in the coming weeks. Aggregate proceeds from the placement are earmarked to support the active drill program and general working capital requirements.

The capital injection coincides with the company's 2026 field season at the Slumber project, which commenced drilling on August 26, 2026. Operations are currently focused on connecting the northern Awakening and southern Slumber zones using a newly acquired lease of privately owned land. Alongside SW Pipe, the Slumber property serves as a priority exploration focus within the company's Nevada portfolio as it executes its busiest exploration year to date.
