Omega Pacific Raises $526,800 to Fund Williams Property Exploration
Omega Pacific has completed the second and final tranche of its non-brokered private placement, securing total gross proceeds of $526,800 to advance exploration activities at the Williams property in British Columbia’s Toodoggone District.
The financing raised $226,800 through the sale of 1,080,000 flow-through units at $0.21 per unit, and $300,000 from the sale of 1,500,000 non-flow-through units priced at $0.20 each. Proceeds from the flow-through units are strictly earmarked for a planned exploration program at the GIC prospect, while the net proceeds from the non-flow-through units will be applied to general working capital.
Under the terms of the offering, each flow-through unit consists of one common share and one-half of a share purchase warrant, exercisable at $0.30 for 18 months. The non-flow-through units similarly include one common share and one-half of a share purchase warrant, exercisable at $0.30 for 24 months. Both warrant series contain accelerated expiry clauses linked to the company’s share price performance. In connection with this placement, Omega Pacific paid $16,849 in cash and issued 81,900 finder's warrants. All securities issued are subject to a statutory four-month-and-one-day hold period.
The company is committed to incurring qualifying "Canadian exploration expenses" with the flow-through proceeds. Omega Pacific will renounce these expenses to the purchasers with an effective date no later than December 31, 2026.
Exploration at the Williams property is designed to build upon 2024 drilling results at the GIC prospect, which hosts a bulk tonnage gold system. The upcoming program aims to expand known mineralization along a 750-metre strike length, specifically targeting zones eastward and up-dip from previous drill collars. Recent work at the site, including holes such as WM24-01 and WM22-02ext, confirmed high-grade and bulk tonnage gold mineralization in multiple zones, with the system remaining open in all directions.
