Omineca Launches $1M Private Placement Financing to Fund Wingdam Exploration

Omineca Mining and Metals Ltd. has structured concurrent non-brokered private placements to raise aggregate gross proceeds of $1,000,000 for hard-rock exploration and working capital at its British Columbia gold assets.

The financing comprises two tranches: 10,000,000 common share units priced at $0.05 per unit and 8,333,333 flow-through units priced at $0.06 per flow-through unit. Each common share unit consists of one common share and one full purchase warrant, while each flow-through unit includes one flow-through share and one-half of one warrant. Whole warrants carry an exercise price of $0.07 and are exercisable for 24 months from the closing date.

Gross proceeds raised from the flow-through units will be directed toward eligible Canadian exploration expenses at the Wingdam Lode Gold Project, which must be incurred by December 31, 2027. Proceeds generated from the standard units will support hard-rock exploration across the property alongside general working capital requirements.

The offerings are structured to remain accessible to existing shareholders using the Existing Security Holder Prospectus Exemption, which limits non-advised subscribers to a maximum investment of $15,000 over any 12-month period. Accredited investors and other qualified subscribers may participate for larger amounts under separate exemptions. Company insiders are also participating in the financing through available related-party exemptions.

Omineca's flagship Wingdam project spans mineral tenures totaling 61,392 hectares and encompasses more than 15 linear kilometers of placer claims along the Lightning Creek valley. Underground operations at the site involve mining partner D&L Mining, which has been preparing crosscuts to recover placer gold from the buried paleochannel.

All securities issued under the private placements will be subject to a four-month hold period under Canadian securities laws and TSX Venture Exchange regulations. Final completion of the offerings remains conditional upon acceptance by the TSX Venture Exchange and customary closing conditions.
