Origen Resources Inc. has entered into an agreement to sell its 100% interest in the Wishbone Project located in British Columbia’s Golden Triangle to 1600292 BC Ltd. Under the proposed transaction, Origen will receive $1,000,000 in common shares of the purchaser, valued at the price established in connection with the purchaser’s anticipated initial public offering, alongside a 1% net smelter return royalty.

The transaction is conditional on the purchaser completing its initial public offering within 11 months of the definitive agreement’s execution, with a final deadline of July 31, 2027. Final completion of the arrangement remains subject to applicable regulatory and corporate approvals.

The 3,941-hectare Wishbone property is situated adjacent to the Galore Creek copper-gold project jointly owned by Teck Resources Limited and Newmont Corporation, with the planned Galore Creek access route crossing the property. Origen advanced the project through multiple exploration campaigns between 2023 and 2025, completing rock sampling, soil geochemistry, and induced polarization geophysical surveys across its 11 identified target areas.

The agreement allows Origen to monetize its direct project interest while maintaining indirect exposure through its equity holding in the purchaser, freeing the company to concentrate its capital and management resources on its core opportunities.
