Osisko Critical Minerals Announces $100M Private Placement

Osisko Critical Minerals Corporation has announced a best-efforts private placement of special warrants to raise gross proceeds of $100 million, funding exploration and development across its New Brunswick properties.

Special warrants are priced at $0.25 each under the offering, which is led by Canaccord Genuity Corp. as sole bookrunner on behalf of a syndicate of agents. Upon satisfaction of release conditions, each special warrant automatically converts into one unit consisting of one common share and one-half of one common share purchase warrant. Each whole warrant entitles the holder to acquire a common share at $0.35 for 24 months following the closing date.

Osisko Metals Incorporated created the subsidiary as a standalone vehicle to hold 2,972 mineral claim units covering approximately 645 square kilometres in northern New Brunswick, alongside three option agreements. The portfolio includes properties prospective for copper, silver, and gold with a geological setting similar to the nearby Gaspé Copper Project.

Net proceeds will finance exploration, development, working capital, and corporate expenses. The offering is expected to close on or about November 17, 2026. Closing remains subject to conditions including receipt of a final qualifying prospectus and TSX Venture Exchange conditional approval to list the securities within 180 days.

Osisko Metals shares recently traded at $1.68, up 3.07% on the session. Regional activity continues to draw attention across the Bathurst Mining Camp, where Silver Acadia Exploration Inc. recently reported final drill results from the Nicholas-Denys Project, intersecting 5.5 metres grading 374 g/t silver and 1.4 g/t gold.
