Palisades Goldcorp Lifts VR Resources Stake to 7.78% via Open Market Purchases

Palisades Goldcorp Ltd. has expanded its equity stake in VR Resources Ltd. by acquiring 1,050,000 common shares through the facilities of the TSX Venture Exchange.

The completed transactions took place on August 27, 2026, with shares purchased at prices ranging from approximately $0.41 to $0.45 each.

Prior to the acquisition, Palisades held 2,044,000 common shares representing an interest of approximately 5.14%. The addition of the 1,050,000 shares lifts the company's direct holdings to 3,094,000 common shares, increasing its ownership interest to approximately 7.78% of the 39,785,279 issued and outstanding common shares of VR Resources.

Alongside its common stock, Palisades continues to hold 1,900,000 common share purchase warrants. These derivative holdings comprise 1,500,000 warrants exercisable at $0.20 per share until January 20, 2029, and 400,000 warrants exercisable at $0.30 per share until April 24, 2029. Assuming the complete exercise of all held warrants, Palisades would control 4,994,000 common shares, representing a partially diluted interest of approximately 11.98%.

The securities are held for investment purposes. Palisades noted that it may adjust its investment position upward or downward at any time depending on prevailing market conditions and other relevant corporate factors.

Justin Daley, Chief Executive Officer of Palisades' wholly-owned subsidiary Made in America Gold Corp., previously served as the founding geologist and Chief Executive Officer of VR Resources.

Palisades will file an early warning report detailing the share acquisition under VR Resources’ issuer profile on SEDAR+. On the day of the transaction, Palisades shares closed at $5.24, rising 2.95% on volume of 80,281 shares.
