Pinnacle Extends Private Placement Closing Date to September 26 for El Potrero Work

Pinnacle Silver and Gold Corp. has received TSX Venture Exchange approval to extend the closing date of its non-brokered private placement until September 26, 2026.

The financing aims to raise gross proceeds of up to $2,200,000 through the sale of up to 20,000,000 units priced at $0.11 each. Each unit comprises one common share and one-half of a share purchase warrant. Whole warrants can be converted into an additional share at an exercise price of $0.16 for a period of 24 months from issuance. Finders' fees may be paid in connection with the offering, with each finder's warrant entitling the holder to acquire one common share at $0.16 over a 24-month period.

The company previously closed the first tranche of the private placement on August 7, 2026, raising gross proceeds of $652,080 through the issuance of 5,928,000 units.

Net proceeds raised from the offering will be allocated to advance the high-grade El Potrero gold-silver project in Durango, Mexico, fund project evaluations, and support general working capital. Pinnacle is earning up to a 100% interest in the project, securing an initial 50% interest immediately upon commencing production, subject to a 2% net smelter return royalty.

To support its broader development schedule, Pinnacle previously entered a seven-month exclusivity period with Auramet Capital Partners, L.P. to arrange non-equity project financing of up to US$5 million for the El Potrero development. In addition, the company scheduled a surface drilling program at the property for September or October 2026.
