Precore Gold Secures C$6 Million Private Placement with Argonaut Cornerstone Backing

Precore Gold intends to raise up to C$6,000,000 through a non-brokered private placement of up to 30,000,000 units priced at C$0.20 per unit.

Each unit consists of one common share and one-half of a common share purchase warrant. Each whole warrant entitles the holder to buy an additional common share at C$0.28 for two years. The warrants include an acceleration clause allowing Precore to shorten the expiry to 30 days if the 30-day volume-weighted average trading price of the common shares exceeds C$0.70.

Argonaut Securities Pty Limited and its clients will participate as cornerstone investors for C$4,000,000 of the offering. Precore may pay Argonaut a cash fee of 6% and finder warrants equal to 6% of the common shares issued to subscribers sourced by Argonaut. These finder warrants are exercisable at C$0.28 per share for 24 months following closing.

Additionally, Argonaut Corporate Finance Limited is acting as financial advisor to Precore for a monthly advisory fee of C$5,000 over an initial 12-month term and the issuance of 1,500,000 advisory options exercisable at C$0.28 for two years. Precore may also pay finder fees or commissions on subscriptions of up to C$2,000,000 sourced through a president's list.

Proceeds from the financing will fund exploration work and general working capital requirements. All securities issued under the offering carry a statutory hold period of four months plus one day under Canadian securities legislation.

The financing supports Precore as the company advances its portfolio, which includes the Arikepay property in Arequipa, Peru. Precore acquired an option to secure up to a 100% interest in Arikepay in April 2025. Regional activity in Southern Peru's Arequipa district has continued to advance, highlighted by approval of a Declaración de Impacto Ambiental for a 36,010-metre drill program at the Colquemayo project in July 2026. The company also holds the 100%-owned Lac Big-Rush gold property located in the Chibougamau mining camp of Quebec. Precore plans to conduct its maiden exploration campaign at Lac Big-Rush later in 2026, following the completion of artificial intelligence-driven drill target identification.
