Premier American Uranium Sells Colorado Assets for US$2M

Premier American Uranium Inc. has agreed to sell its Outlaw Mesa, Atkinson Mesa, Monogram Mesa, and Slick Rock projects in Colorado to DISA Uranium™ Corporation for approximately US$2,000,000 in equity and warrants.

Under the agreement signed September 14, 2026, Premier American Uranium will receive 25,413 shares of DISA Uranium and an equivalent number of warrants. Concurrently, DISA Uranium will make a US$5,000,000 strategic equity investment in subscription receipts at C$0.75 per receipt. The offering price represents a 41.5% premium to the closing price on September 14, 2026, and will result in an approximate 8.7% ownership interest in Premier American Uranium.

Completion is subject to customary closing conditions, including approvals from the U.S. Department of Energy and the TSX Venture Exchange, with both parties targeting a completion date by June 13, 2027. Proceeds will fund exploration across core properties, including the flagship Cebolleta project in New Mexico alongside Kaycee and Cyclone.

The transaction allows Premier American Uranium to divest non-core holdings while retaining exposure to DISA Uranium's U.S. uranium platform. The agreement follows a February 2026 bought deal private placement where Premier American Uranium raised C$15.0 million at C$0.90 per unit, marking its second significant financing of the year.

The technical relationship could open new processing routes for Cebolleta, where Premier American Uranium targets an updated Preliminary Economic Assessment in 2027. DISA Uranium’s high-pressure slurry ablation technology can reject waste mass prior to downstream processing, allowing the company to evaluate alternative operating scenarios for the sandstone-hosted mineralization at Cebolleta.
