Protium Clean Energy Closes Ten O'Clock Mine Acquisition and Approves Incentive Grants

Protium Clean Energy Corp. has closed its acquisition of the Emma Prospect and the Ten O'Clock Mine in Nevada’s Gabbs tungsten district, paying $200,000 and issuing 10,000,000 common shares at a deemed price of $0.20 to the arms-length vendors.
The transaction completes an agreement initially struck on June 5, 2026. While the property transfer is finished, final clearance remains subject to approval by the Canadian Securities Exchange, and the consideration shares carry a four-month and one-day statutory hold alongside a four-month exchange hold.
The Ten O'Clock asset includes the historical Ten O'Clock Hope Mine, positioned on the divide between Craig Canyon and Lodi Valley approximately 4.5 miles northeast of Gabbs. Historical records from 1954 to 1955 show that about 100 tons of ore averaging an estimated 1.0% WO₃ were shipped from the property to the nearby Yaney Mill.
Alongside the property closing, the Protium Clean Energy board approved an equity incentive package effective August 14, 2026. Directors and officers received 550,000 stock options exercisable at $0.135 per share until August 14, 2031, alongside 450,000 restricted share units. Chief Executive Officer Marc Branson received 100,000 options and 250,000 restricted share units, Chief Financial Officer Kyle Appleby was granted 250,000 options and 100,000 restricted share units, and directors David Shisel and Doug Unwin each received 100,000 options and 50,000 restricted share units.
The options vested fully on the grant date. These related-party grants rely on available exemptions from formal valuation and minority approval requirements under Multilateral Instrument 61-101 and remain subject to acceptance by the Canadian Securities Exchange. Activity across the wider district includes Guardian Metal Resources plc announcing the discovery of the Tremor Zone during condemnation drilling for its Pre-Feasibility Study at the Pilot Mountain tungsten project on June 4, 2026, intersecting multiple intervals of tungsten-rich skarn mineralization.
