Agnico Eagle Takes 10.45% Stake in Radisson Mining via C$57M Placement for O'Brien Underground Work

Radisson Mining Resources Inc. has entered into a subscription agreement for a C$57.16 million strategic investment by Agnico Eagle Mines Limited through a private placement of 53,420,000 units at C$1.07 per unit.
The transaction gives Agnico Eagle an initial ownership stake of approximately 10.45% of Radisson's issued and outstanding common shares on a non-diluted basis, and roughly 14.90% on a partially diluted basis. Each unit consists of one Class A common share and one-half of a common share purchase warrant. The whole warrants are exercisable at C$1.39 for 60 months, subject to acceleration if the volume-weighted average price exceeds C$1.85 for 20 consecutive trading days after 24 months.
The capital will fund an advanced underground exploration program at the 100%-owned O'Brien Gold Project along the Larder-Lake-Cadillac Break in Québec's Abitibi region. Engineering and permitting work will begin immediately. Planned infrastructure includes an access ramp, related surface and underground facilities, and water management systems. A Preliminary Economic Assessment for O'Brien, effective June 27, 2025, outlined an 11-year mine life and evaluated using existing regional infrastructure for processing and tailings.
Radisson will continue its ongoing 140,000-metre step-out drill program, funded from existing cash resources.
Closing is subject to customary conditions, including TSX Venture Exchange approval. Upon completion, the companies will enter an investor rights agreement granting Agnico Eagle board nomination rights, participation and top-up rights to maintain its ownership interest, and specific transaction restrictions through December 31, 2028.

The non-brokered private placement will proceed without commissions or finder's fees.
