Regency Silver Secures 100% Interest in Jabali Gold Project in Sonora

Regency Silver Corp. has entered into a binding agreement dated September 8, 2026, to acquire a 100% interest in the Jabali Gold Project in Sonora, Mexico, adding approximately 569 hectares of mineral concessions that contain the past-producing La Dura underground gold mine.
Under the transaction terms, Regency Silver will pay US$70,000 upon execution of the formal agreement. The consideration also includes 20 million shares issued upon reaching a standard toll milling agreement with a nearby mine, subject to voluntary pooling. Further obligations include US$1 million payable six months after commercial production, another US$1 million twelve months later, US$2 million after extracting 50,000 ounces of gold equivalent, and a 2% net smelter return royalty.
The acquisition is expected to close on or about September 30, 2026, pending TSX Venture Exchange approval without requiring shareholder approval.

The Jabali property adds to a Sonora portfolio that already includes the flagship Dios Padre project, the La India concession, and the El Tule project, alongside the San Dimas claims in Durango. Regency Silver is currently completing a National Instrument 43-101 technical report on the project and plans to execute a Phase 1 twin-hole drilling program to validate historical drilling data, which previously yielded intervals such as 6.91 g/t gold over 63.4 metres and 7.26 g/t gold over 12 metres by Tarachi Gold.
