Resouro Strategic Metals Announces C$2 Million Private Placement

Resouro Strategic Metals Inc. (RSM) has launched a non-brokered private placement aiming to raise up to C$2 million. The company plans to issue up to 8,000,000 common shares at a price of C$0.25 per share. The offering is open to eligible investors, with the company noting that no related parties or their associates will participate in the financing.

The company intends to use the capital to support the next phase of development at its flagship Tiros project, a large-scale titanium and rare earth element asset located in Minas Gerais, Brazil. Specifically, proceeds will fund scoping studies for a pre-feasibility study and additional metallurgical testwork designed to enhance recovery rates for the project’s core minerals. These efforts follow the company's recent release of a preliminary economic assessment for the asset.

Management expects to close the offering in one or more tranches, with the initial closing anticipated on or about July 20, 2026. The placement is subject to standard conditions, including the receipt of all necessary regulatory approvals from the TSX Venture Exchange. Resouro maintains a diversified portfolio, and while it also oversees the development of its Novo Mundo gold project, the current focus remains heavily anchored on advancing the technical milestones for the Tiros project. All shares issued under this financing will be subject to a four-month resale restriction under applicable securities laws.
