Roland Mineral Enterprises Increases Private Placement to $2,400,000 and Lowers Unit Pricing

Roland Mineral Enterprises Corp. has increased its previously announced private placement financing to $2,400,000, while simultaneously reducing unit pricing and warrant exercise thresholds.

The amended financing offers units at $0.135 each, down from the $0.165 price tag attached to the company's previous $2,100,000 placement announced on June 22, 2026. Each unit continues to comprise one common share and one transferable warrant, but the exercise price for those warrants has been lowered from $0.22 to $0.175 per share, with a five-year term attached. All other terms of the raise remain unchanged.

A portion of the funding will be issued on a flow-through basis, entitling holders to receive applicable tax benefits under the Income Tax Act of Canada. Proceeds from the placement are earmarked for debt repayment, working capital, business development, and the exploration and development of the company's mineral properties.

Independent directors approved participation by an insider in the offering, allowing the company to rely on an exemption from related party requirements under Multilateral Instrument 61-101. Finder's fees will also be paid on a portion of the total raise. Completion of the financing and the payment of any finder's fees remain strictly subject to formal acceptance for filing by the TSX Venture Exchange.

The financing forms part of Roland's broader funding and corporate activity, which earlier in the year included launching a Venezuelan Mineral Rights Acquisition Program on March 27, 2026. That program secured access to historical exploration data compiled by Placer Dome Inc. for the Las Cristinas gold deposit. The company holds assets across Canada and the Americas, including the Dominion Creek Dredge Gold project in the Yukon, the Gwyn Lake Gold project in Ontario, the Buck Lake platinum, palladium, nickel and copper project, and a controlling interest in the Fox Creek Lithium Brine Project in Alberta.
