Rottenstone Gold Replaces Multi-Asset Pact With Kinross Royalty Deal and Plans Silver Royalties Rebrand

Rottenstone Gold Inc. has entered into a binding purchase agreement dated September 1, 2026, to acquire a 0.75% Net Smelter Return royalty on the Kinross Gold Corporation-operated Great Bear Project in Ontario, Canada, covering approximately 570 hectares of mining leases and 1,241 hectares of mining claims.
Under the terms of the all-stock agreement with a related-party vendor, Rottenstone Gold plans to issue 18,064,516 common shares based on an independent valuation report dated August 7, 2026. The transaction replaces a previous multi-asset binding agreement from December 9, 2025, which automatically terminated on August 31, 2026, after the parties allowed its closing date to lapse. While the initial December 2025 transaction encompassed royalties across six different operating entities, the new Great Bear Royalty Agreement focuses specifically on the Kinross-operated asset to achieve a more streamlined and expeditious closing.
The acquisition constitutes a fundamental change of business for Rottenstone Gold, prompting the company to maintain a trading halt on its securities pending completion or termination of the deal. If successfully finalised, Rottenstone Gold intends to transition fully into a mining royalty market participant and adopt the name Silver Royalties Corp. through amalgamation or a similar corporate structure.
The company expects to hold a special shareholder meeting in the fourth quarter of 2026 to secure a disinterested shareholder vote approving the acquisition. In addition to shareholder support, completion of the transaction remains subject to Canadian Securities Exchange approval and various legal, tax, and regulatory clearances.
Rottenstone Gold's board and management team draw on prior industry experience building and selling Gold Royalties Corp. to Sandstorm Gold Ltd., alongside a historical royalty acquisition agreement established with Franco-Nevada Corporation. No finderes fees are payable in connection with the transaction.
