Royal Road Minerals Limited has agreed to a non-brokered private placement offering of 5,000,000 ordinary shares at a price of C$0.20 per share to raise gross proceeds of C$1,000,000.

The transaction is being completed on the same terms as the private placement financing closed by the company on July 28, 2026. Following additional investor demand, Royal Road decided to proceed with the offering to allow an existing institutional shareholder to participate.

Gross proceeds from the placement are designated to advance exploration and expand drilling programs across the Guintär-Aleman-Margaritas district in Colombia. The company's Guintär-Aleman-Margaritas project is an advanced exploration asset where previous work has included diamond drilling programs and drone-borne magnetic surveys targeting porphyry-skarn and polymetallic systems.

Closing of the private placement offering remains subject to corporate and regulatory approvals, including the approval of the TSX Venture Exchange. All securities issued in connection with the offering will be subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. Any remaining funds from the gross proceeds will be allocated for general and working capital purposes.

Wider activity within the surrounding district includes recent exploration updates, such as when Orosur Mining Inc. reported drill results at the Pepas West prospect at its Anza project, intersecting 10.2 metres at 5.77 g/t gold, sharing the gold commodity of the current announcement.
