Salazar Resources Limited has arranged a non-brokered private placement financing to raise up to $3,500,000 through the issuance of up to 10 million units at a price of $0.35 per unit.

Each unit consists of one common share and one-half of a common share purchase warrant. Each whole warrant entitles the holder to purchase an additional common share at a price of $0.60 for a period of two years from closing. Insiders of the company may participate in the financing, and finder's fees may be paid on a portion of the offering.

Net proceeds from the placement will be allocated toward working capital and exploration activities across the company's portfolio. All securities issued under the arrangement are subject to a statutory four-month hold period and require standard regulatory approvals, including the acceptance of the TSX Venture Exchange.

The incoming funds will support ongoing operational and exploration work, adding financial backing to assets such as the Santiago Project. Salazar acquired its interest in Santiago through an asset transaction with Silvercorp Metals Inc. that closed in March 2026 in exchange for a 1.5% net smelter return royalty. Santiago hosts a compelling copper-gold porphyry target characterized by an anomalous zone measuring approximately three kilometres by two kilometres.

Shares in Salazar are currently trading at $0.365, down 1.35%. Broader exploration activity is also drawing attention across the region, highlighted by Auro Metals Inc. having reported an intercept of 905.22 metres grading 0.60 grams per tonne gold and 0.12% copper at the Santa Barbara Gold-Copper Project.

Salazar is now proceeding toward the formal closing of the private placement financing, with final completion remaining subject to the receipt of all necessary regulatory approvals.
