Sasquatch Resources Closes $671,000 Private Placement

Sasquatch Resources Corp. has closed its previously announced non-brokered private placement, raising gross proceeds of $671,000 to fund exploration and general operations.
The financing generated $443,500 through the issuance of 4,435,000 common shares priced at $0.10 each, alongside $227,500 from 1,820,000 flow-through common shares priced at $0.125 each. Proceeds from the common shares will support general working capital, while funds raised via the flow-through shares will be directed toward eligible Canadian exploration expenses that qualify as flow-through mining expenditures under the Income Tax Act. All securities issued under the offering are subject to a four-month hold period expiring on December 28, 2026.
Directors and officers of the company participated in the financing. Because the transaction constituted a related party transaction under Multilateral Instrument 61-101, it was exempted from formal valuation and minority shareholder approval requirements as the fair market value did not exceed 25 percent of the company's market capitalization. Aggregate finder's fees of $5,220 were paid in connection with the placement.
At Mount Sicker, the company's advanced exploration project on Vancouver Island, operations focus on reclaiming legacy mining waste rock and applying ore-sorting processes to recover copper, gold, silver, and zinc. Sasquatch is currently advancing its permitting efforts for the project, having submitted responses to the BC Ministry of Mining and Critical Minerals regarding its Notice of Work application following an engineering report and preliminary reclamation overview by Okane Consultants.
Regional exploration activity across the district includes work at the Copper Road project, where Sasquatch identified five density anomalies following a gravity geophysical survey targeting copper, gold, and silver.
