Silver Bow Mining Agrees to Acquire Jefferson County Metallurgical Complex in Chapter 11 Deal

Silver Bow Mining Corp. has signed a definitive asset purchase agreement to acquire the Jefferson County Metallurgical Complex in Montana through a Chapter 11 bankruptcy sale, securing an integrated mineral processing facility to support its regional development plans.
The transaction remains subject to approval by the U.S. Bankruptcy Court for the District of Montana, Silver Bow Mining shareholders, and the NYSE American. Under the staged agreement, the initial acquisition phase requires Silver Bow Mining to fund approximately US$28.6 million to settle specified creditors associated with the assets. This initial funding includes approximately US$20.8 million owed to the Montana Department of Environmental Quality and about US$4.27 million payable to Jefferson County.
Located roughly 55 road miles northeast of Butte, the 5,000-acre complex contains 15,000-tpd and 1,000-tpd mineral processing circuits, crushing and storage facilities, tailings infrastructure, and associated plant assets. Silver Bow Mining intends to apply the 1,000-tpd processing circuit toward treating mineralized material from its flagship Rainbow Block Project.

The company maintains a primary corporate focus on advancing the high-grade Rainbow Block Project within Montana’s Butte Mining District. Silver Bow Mining commenced surface exploration drilling at the property in May 2026 as part of an active 25,000-foot drill campaign.
Following the final closing of the acquisition, Silver Bow Mining is committed to executing specific post-closing work programs on the acquired properties. These obligations include allocating US$5 million toward a feasibility study on the M-Pit Expansion, which must be completed within nine months of final closing, subject to permitted extensions. The company has also committed US$3 million to advance detailed engineering and regulatory work for the Clancy Creek Bypass Channel.
