Silver Crown Acquires Third Titiminas NSR Royalty In Peru

Silver Crown Royalties Inc. has entered into a definitive agreement to acquire a third 1% net smelter return royalty on Titiminas Silver Inc.’s Madre Sierra deposit in Jauja, Peru, for a total consideration of US$4,000,000 in cash, units, and contingent payments.
The transaction structure differs from Silver Crown’s previous acquisitions on the project. Under the agreement, Silver Crown will pay US$2,000,000 in cash at closing alongside US$1,000,000 satisfied through the issuance of 38,401 units. Each unit consists of one common share and half a purchase warrant exercisable at 150% of the closing issue price for 24 months. An additional US$1,000,000 in contingent units will be issued upon receipt of the first royalty payment following at least 30 days of continuous production at a rate of 70 tonnes per day or greater.
The acquisition follows Silver Crown’s purchase of two 1% net smelter return royalties on the same deposit announced in June and closed in July 2026. That earlier transaction involved US$6,000,000 in cash and US$2,000,000 in contingent cash.

Closing of the current agreement is expected on or before October 31, 2026, pending customary conditions precedent, Cboe Canada approval, and registration of the royalty on project title.
