Silver Crown Completes Third Titiminas Royalty Acquisition

Silver Crown Royalties Inc. has completed the acquisition of a third existing 1% net smelter return royalty on Titiminas Silver Inc.’s Madre Sierra deposit in Jauja, Peru.
Under the transaction terms, Silver Crown paid US$2,000,000 in cash at closing. The company also satisfied another US$1,000,000 of the purchase price through the issuance of 38,401 units. Each unit consists of one common share and one-half of a purchase warrant, with whole warrants exercisable at 150% of the closing issue price for a 24-month period following closing.
An additional US$1,000,000 in contingent consideration is payable upon Silver Crown receiving its first royalty payment following at least 30 days of continuous production at the project at a rate of no less than 70 tonnes per day. This contingent amount will be satisfied through the issuance of further units on the same share-and-warrant terms, priced at the five-day volume-weighted average trading price preceding that trigger date. Registration of the royalty assignment to Silver Crown will proceed in the ordinary course.
The completion brings Silver Crown's holdings to three separate 1% net smelter return royalties on the Madre Sierra deposit, following three separate transactions announced and closed between June and September 2026.
This latest acquisition structure differs from Silver Crown's earlier purchases on the project. The first two Titiminas royalties involved US$6,000,000 in cash consideration alongside US$2,000,000 in contingent cash. In contrast, the third transaction combines a lower cash outlay of US$2,000,000 with US$1,000,000 in equity units and contingent unit payments, altering the capital deployment mix for the portfolio asset.
