Solstice Gold Closes $650,000 Private Placement to Fund Strathy Project Acquisition

Solstice Gold Corp. has completed its fully subscribed private placement, securing gross proceeds of approximately $650,000 to fund the cash consideration required for its upcoming property acquisition at the Strathy Gold Project in Ontario.

The financing was completed through the issuance of 10,833,333 common shares at a price of $0.06 per share. Company insiders participated in the offering by acquiring an aggregate of 883,333 common shares representing approximately $53,000 of the total proceeds. Because this insider participation amounted to less than 25% of the company's market capitalization, the transactions were exempt from formal valuation and minority shareholder approval requirements under applicable regulatory frameworks. No finder’s fees were paid in connection with the placement, and all securities issued are subject to a statutory hold period of four months and one day.

The proceeds from the private placement are earmarked specifically to cover the cash consideration for the acquisition of a 100% interest in surface and mining rights for the Leckie Patents and 43 unpatented mining claims situated to the southwest. Solstice Gold anticipates closing the transaction on or about September 14, 2026.

The acquisition brings in the Leckie Gold Zone, an advanced asset featuring a 160-metre-deep historical shaft, underground development spanning five levels, and more than 23,000 metres of historical drilling. This addition integrates directly with the company’s broader exploration framework at Strathy. Ground geophysics completed across the property in 2024 and 2025 utilized Alpha IP surveys totaling over 34 line kilometres, which successfully defined 50 new exploration targets across the claim package.
