Solstice Gold Expands Strathy Footprint Through Leckie Acquisition and $650,000 Placement

Solstice Gold Corp. has agreed to acquire a 100% interest in the Leckie Gold Zone and 43 unpatented mining claims, consolidating its Strathy Gold Project in Ontario’s Temagami Greenstone Belt to approximately 57 square kilometres.

The transaction covers surface and mining rights for the Leckie Patents and adjacent claims. Under the definitive purchase agreement, Solstice will pay $600,000 in cash, issue 2,000,000 common shares subject to a 12-month lock-up agreement, and transfer 11 unpatented Kanichee claims to the seller.

To fund the cash consideration, Solstice has arranged a fully subscribed, non-brokered private placement of 10,833,333 common shares at $0.06 per share to raise gross proceeds of $650,000. In parallel, the company has accelerated its final $35,000 option payment to secure 100% ownership of the underlying project claims. Closing of both the acquisition and the private placement is anticipated on September 14, 2026, subject to regulatory approvals including the TSX Venture Exchange.

The Leckie Gold Zone features a 160-metre-deep historical shaft, underground development across five levels, and more than 23,000 metres of historical drilling. Solstice plans to conduct future drilling using oriented core to support vein studies, document mineralization trends, and guide expansion targeting toward defining a potential resource.
