Strategic Metals and GGL Resources Advance Yukon Copper-Gold Option Transaction Following Shareholder Approval

Disinterested shareholders of Strategic Metals Ltd. and GGL Resources Corp. have voted at special meetings held on August 31, 2026, to approve the mineral property option transactions originally announced on July 27, 2026.
The agreement grants GGL a two-staged option to acquire up to a 100% interest in the Hopper, Kluane, Batt, and Moraine mineral properties located in the southwestern Yukon Territory. Because Strategic holds a 30.35% stake in GGL's issued share capital, the arrangement constituted a related party transaction under Multilateral Instrument 61-101 and TSX Venture Exchange policies, necessitating approval from the disinterested shareholders of both companies.
The transaction remains subject to GGL completing a share consolidation at a four-for-one pre-to-post-consolidation ratio and receiving final acceptance from the TSX Venture Exchange. Under the terms of the earn-in, GGL is required to issue 1,000,000 post-consolidation common shares to Strategic by October 31, 2026, and incur $2,000,000 in exploration expenditures across the properties on or before December 31, 2027.
Strategic functions as a project generator holding 16 royalty interests, 14 projects under option to other parties, and a portfolio of approximately 80 wholly owned projects. The Hopper copper-gold project was previously reclaimed by Strategic in May 2024 following the termination of an option agreement with Alpha Copper Corp.
