Strategic Metals Options Yukon Copper-Gold Projects to GGL Resources Corp.

Strategic Metals Ltd. (SMD) has entered into a definitive agreement granting GGL Resources Corp. (GGL) an option to acquire a 100% interest in four copper-gold mineral properties located in the southwestern Yukon Territory. The portfolio includes the Hopper project, alongside the Kluane, Batt, and Moraine properties. Under the terms of the two-staged earn-in agreement, GGL can secure an initial 70% stake by meeting specific exploration expenditure requirements totaling $10,000,000 and issuing 1,000,000 post-consolidation shares to Strategic.

The exploration expenditure schedule requires GGL to invest $2,000,000 by the end of 2027, $3,000,000 by the end of 2028, and a final $5,000,000 by December 31, 2029. This initial phase includes a reimbursement to Strategic of up to $250,000 for exploration work conducted during the 2026 season. Should GGL successfully complete these obligations, the companies will form a 70/30 joint venture to govern further development of the properties. Alternatively, GGL maintains the right to acquire the remaining 30% interest for an additional cash payment of $3,000,000, which would grant the company full ownership, subject to a 2% net smelter return royalty retained by Strategic.

The transaction is classified as a related party deal because Strategic holds a 30.35% interest in GGL. Consequently, the agreement remains subject to the approval of disinterested shareholders from both companies at a special meeting slated for late August 2026. Finalization also requires TSX Venture Exchange acceptance and the successful completion of a share consolidation by GGL at a four-to-one ratio. No finder's fees are payable in connection with the option arrangement. Strategic’s management views these types of transactions as integral to its core business model, as the company operates as a project generator with a portfolio of approximately 80 wholly owned properties, built over five decades of exploration.

While the primary focus of this announcement involves the copper-gold assets in the Yukon, Strategic maintains a broader investment strategy. The company frequently manages its portfolio through strategic options and sales to streamline its capital base while retaining upside potential through royalties and equity positions. In addition to its project-generating activities, Strategic holds significant ownership stakes in several active explorers, including a 32% interest in Broden Mining Ltd. and a 28% stake in Rockhaven Resources Ltd. These holdings complement its internal exploration efforts, allowing the company to participate in a wider range of development projects across the region.

The properties included in the deal represent established exploration targets within the Yukon. For instance, the Hopper project features both skarn and porphyry-style mineralization, with significant copper-gold intercepts previously identified through diamond drilling. Other properties, such as the Kluane gold project and the copper-cobalt-gold focused Batt property, host multiple mineralized zones that have been highlighted by previous geochemical and geophysical surveys. By optioning these assets to GGL, Strategic aims to facilitate continued exploration and testing of these prospects while retaining long-term economic interests through the royalty structure and its substantial equity participation in the operating partner. The alignment of these interests underscores the company’s ongoing approach to project development and asset management in the Canadian mining sector.
